The Competition Council approves Boeing’s acquisition of Spirit AeroSystems without impacting the Moroccan market

The Competition Council has announced its approval of the economic concentration involving the acquisition of the American company The Boeing Company by Spirit AeroSystems Holdings, Inc., through full ownership of its capital and associated voting rights. The decision was made on May 5, 2025, and published in the official gazette.

The council approved the deal after a thorough examination of its impact on competition within the Moroccan market, particularly considering Boeing’s significant presence in the Moroccan aviation sector, where it is one of the leading suppliers of aircraft components and related services.

The decision was based on Law No. 104.12 concerning the freedom of pricing and competition, and Law No. 20.13 regulating the Council, along with the relevant implementing decrees. The transaction was approved during a meeting of the council’s standing committee on May 5, 2025, after confirming a legal quorum.

The council received the filing on February 13, 2025, and ensured transparency by publishing an announcement in a national newspaper and on its website on February 21, 2025, allowing for a ten-day period to receive comments, during which no objections were raised.

The Boeing Company is among the leading global aircraft manufacturers and has a strong presence in Morocco by providing commercial aircraft, maintenance services, and defense systems. Meanwhile, Spirit AeroSystems Holdings, Inc. is a key supplier of aircraft structures and plays a crucial role in Boeing’s supply chain.

The filing clarified that the transaction would enhance the stability of the supply chain within Morocco and contribute to improving production capabilities and manufacturing quality, thereby supporting the growing role of these companies in the Moroccan aviation sector.

The council’s analysis focused on the markets affected by the deal, particularly the manufacturing of aircraft structures, both commercial and military, as well as repair and maintenance services and spare parts sales, taking into account the global nature of these sectors.

The council confirmed that this operation would not harm competition, given the absence of significant overlap in the companies’ activities within most relevant markets, and that the combined market shares remain at acceptable levels that do not raise competitive concerns.

The council ruled out negative vertical effects, noting that Spirit AeroSystems is a quasi-exclusive supplier to Boeing and will continue in this role post-acquisition, with sufficient alternatives in the market preventing any exclusion of competitors.
