Sothema Acquires 99.99% of Soludia Maroc’s Capital to Strengthen Its Presence in the Hemodialysis Sector
Sothema, a prominent player in the pharmaceutical and medical device industries, has completed the acquisition of 99.99% of the capital of Soludia Maroc, a company specializing in blood purification solutions (hemodialysis). This strategic move aims to enhance its positioning within a highly value-added health sector.
According to a statement from the company, this acquisition was realized through two integrated pathways. The first involved the purchase of shares owned by Abdelaziz Rzqaoui, the Cap Mezzanine III fund managed by CDG Invest Growth, and the El Zein family. The second pathway involved increasing Sothema’s capital through an in-kind contribution made by Rzqaoui and the investment fund, by integrating part of their shares in Soludia Maroc.
The total value of the capital increase for Sothema was 630.4 million dirhams, including the contribution premium, as part of a process that received the approval of the Moroccan Capital Market Authority (AMMC) on December 9, 2025, in accordance with applicable legal provisions.
Founded in 1976, Sothema is among the leading players in the health sector in Morocco, involved in the manufacturing and marketing of medicines, dietary supplements, and medical devices, with a regional presence extending to sub-Saharan Africa and the Middle East. The company relies on partnerships with over 40 leading international laboratories in research and development, in addition to marketing generic and similar biological medicines under its brands.
On the other hand, Soludia Maroc, since its establishment in 1996, has amassed significant experience in the field of blood purification, offering a comprehensive range of products dedicated to hemodialysis, including bicarbonate cartridges and acid and bicarbonate solutions, in addition to distributing pharmaceutical products for international partners. The company also holds 40% of the capital of Hydropura Maroc, specializing in the design and maintenance of water treatment stations for dialysis centers.
This acquisition is expected to enhance industrial and technical integration within the national healthcare system and support the provision of treatments related to kidney failure, amid an increasing demand for blood purification solutions in Morocco.
